Judge Rules Against Most of DCG’s Motion to Dismiss NYAG’s Civil Securities Fraud Suit

A New York judge recently ruled that the civil securities fraud suit filed by New York Attorney General Letitia James against crypto venture firm Digital Currency Group (DCG) and two of its executives will proceed to trial. The lawsuit, filed in 2023, alleges that DCG, CEO Barry Silbert, Genesis Global Capital, and former CEO Michael Moro, along with crypto exchange Gemini, collaborated to conceal a $1 billion deficit in Genesis’ balance sheet caused by the collapse of Singapore-based crypto hedge fund Three Arrows Capital (3AC) in 2022.

According to James, DCG and Genesis provided false assurances on social media that DCG had absorbed Genesis’ losses from 3AC’s collapse, when in reality, they had only covered up the deficit with a promissory note. This note promised to pay Genesis $1.1 billion over 10 years at a 1% interest rate, but no payments have been made under the agreement.

While Gemini and Genesis settled with the OAG, DCG, Silbert, and Moro have continued to contest the allegations. Last spring, DCG and the executives filed motions to dismiss the suit, arguing that they were not selling securities and should not be subject to New York State securities laws.

However, the judge ruled that the OAG had sufficiently alleged that the Gemini Earn program, the lending product at the center of the case, was indeed a security. While two claims against DCG, Moro, and Silbert were dismissed, the case will move forward.

DCG expressed its intention to continue fighting the lawsuit, denouncing the allegations as “innuendo, mischaracterizations, and unsupported conclusions.” The firm remains focused on supporting the digital assets industry and will challenge the baseless claims brought against them.
